Corporate Counsel

Typical transactions will range from standard contracts to complex, high-value agreements. The role includes leading legal team projects, including managing legal issues that arise in existing commercial relationships and handling customer and client inquiries & managing compliance for the organization.

The candidate will also be responsible to lead the on-going operations, continuous improvements and creating standard operating procedures as it relates to design and implementation of any contract’s management process and lifecycle for the organization.

  • 5-10 years managing contracts and 2-5 years working in-house
  • Member in good standing with the Bar of the state in which license is held
  • Excellent interpersonal and communication skills, that is timely and responsive to both internal and external parties and team members
  • Strong team player

  • Ability to manage time effectively
  • Excellent analytical, communication, diplomatic, research and writing skills.
  • Provides legal counsel for and negotiation of contracts for the organization
  • Recommends and provides legal advice and support to the company’s growth initiative’s
  • Occasionally works with outside legal counsel and orchestrates legal processes on behalf of the company in liaison with outside counsel at direction of the General Counsel
  • Works with key strategic external relationships & partnerships as needed in the legal industry
  • Identifies legal risks and designs plans to mitigate and prevent routine legal risks for the company
  • Drafts, reviews, and negotiates a variety of agreements and documents and continuously seeks ways to improve the forms, processes, or systems involved.
  • Participates in preparing and delivering training, documentation to team members, clients, management, executives, or other members of the Legal Department on legal matters and updates to continuous improvements to the contracts process
  • Collaborates on complex projects and supports others in the Legal Department (i.e. IT, security team, and others as needed for contracts and compliance
  • Negotiates with outside parties on contractual issues and legal disputes including negotiating key contract terms
  • Work closely with the sales organization and business units to prepare, advise, draft, negotiate and execute contracts. This includes but is not limited to commercial or client contracts, procurement contracts, vendor contracts, partnership agreements, suppliers, employees, etc.
  • Provide support for M&A transactions, including working with Corporate Development on deal structure and LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution
  • Bachelor’s degree
  • J.D. Degree
